These Terms & Conditions (“Terms”) govern your access to and use of the ABS Investor Academy website, platform, courses, content, tools, and related services (together, the “Services”). The Services are owned and operated by Arun Baijnath Sharma HUF (“ABS HUF”, “we”, “us”, “our”), trading as ABS Investor Academy.

By creating an account, subscribing, or otherwise using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Services.

ABS Investor Academy provides financial education only. Nothing in the Services constitutes investment advice, a research report, portfolio management, or a recommendation to buy, sell, or hold any security or product.

• All content is analytical and educational. We do not provide stock tips or target prices, and we do not promise or imply any returns.
• ABS HUF is not registered with the Securities and Exchange Board of India (SEBI) as an Investment Adviser (IA) or Research Analyst (RA).
• All examples are illustrative and based on historical data. Past performance is not indicative of future results.
• You should consult a SEBI-registered investment adviser before making any financial decision. You are solely responsible for your own decisions and their outcomes.

To use the Services you must be at least 18 years old and capable of forming a binding contract. You agree to provide accurate, current, and complete information when registering and to keep it updated.

• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• Accounts are personal to you. You may not share, resell, sublicense, or transfer your account or access to any other person.
• Notify us immediately of any unauthorised use of your account. We are not liable for losses arising from your failure to safeguard your credentials.

Certain Services are offered on a paid, recurring subscription basis. By subscribing, you authorise us and our payment processor to charge the applicable fees to your chosen payment method on a recurring basis until you cancel.

• Billing cycle: subscriptions renew automatically at the end of each billing period ([e.g., monthly/ annual]) unless cancelled before the renewal date.
• Pricing: current prices and plan features are shown on the pricing page. We may change prices prospectively; we will give you reasonable notice before a change affects your renewal.
• Payment processing is handled by a third-party payment gateway. We do not store your full card details on our servers.
• Taxes (including GST, where applicable) may be added to the displayed price.
• Failed payments may result in suspension or termination of access until the outstanding amount is cleared.

• You may cancel your subscription at any time from your account settings or by contacting us. Cancellation stops future renewals; it takes effect at the end of the current paid billing period.
• Unless required by law or expressly stated otherwise, fees already paid are non-refundable, and cancelling does not entitle you to a refund for the current period.
• Any refund or free-trial terms, if offered, will be as described on the relevant plan or promotional page at the time of purchase.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access the Services for your own personal, non-commercial educational use.

You agree NOT to:

• Copy, record, reproduce, distribute, publicly display, resell, or create derivative works from any course content, videos, quizzes, tools, or materials.
• Share your account or provide access to non-subscribers.
• Circumvent any access controls, digital rights management, or security features.
• Use the Services unlawfully, or to upload malware or infringing, defamatory, or harmful content.
• Scrape, data-mine, or use automated systems to access the Services without our written permission.

All content and materials in the Services — including text, videos, slide decks, quizzes, spreadsheets, tools, graphics, logos, and the “ABS Investor Academy” name and branding — are owned by or licensed to ABS HUF and are protected by intellectual-property laws. Except for the limited licence above, no rights are granted to you.

The Services may reference or link to third-party websites, data sources, or tools (for example, regulator or exchange websites and calculators). We do not control and are not responsible for third-party content, and referencing them does not imply endorsement.

The Services are provided on an “as is” and “as available” basis without warranties of any kind, express or implied, to the maximum extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, or that any educational outcome or financial result will be achieved.

To the maximum extent permitted by law, ABS HUF and its members shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, investment losses, or trading losses, arising from your use of — or reliance on — the Services. Our total aggregate liability, if any, shall not exceed the amount you paid us for the Services in the [three (3)] months preceding the claim.

You agree to indemnify and hold harmless ABS HUF and its members from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.

We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, or to protect the Services or other users. On termination, your licence ends and you must stop using the Services. Sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnity) will survive termination.

We may modify the Services or these Terms from time to time. If we make material changes, we will take reasonable steps to notify you (for example, by email or a notice on the site). Your continued use after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of India. Subject to any applicable law, the courts at Chennai, India shall have exclusive jurisdiction over any dispute arising from these Terms or the Services.
